Terms of Service

1. The Agreement

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Partner," "Affiliate," or "You") and WiseCore Limited ("WiseCore," "we," "us," or "our"). By accessing our network, applying for offers, or using our tracking technology, you acknowledge that you have read, understood, and agreed to be bound by these Terms.

2. Definitions

• "Network" refers to the WiseCore performance marketing platform and associated tracking infrastructure.
• "Offer" means a promotional campaign provided by an Advertiser for which specific conversion actions result in payment.
• "CPA" (Cost Per Acquisition) and "CPL" (Cost Per Lead) refer to the performance-based billing models we employ.
• "Creatives" refers to banners, text links, emails, and other marketing materials provided for use in a campaign.

3. Performance-Based Model

WiseCore Limited operates on a 100% performance basis. Payouts are generated only upon the successful completion of a predefined conversion action (a "Lead" or "Sale") as validated by our tracking system and the Advertiser. WiseCore's tracking statistics are the final authority in determining conversion volume.

4. Intellectual Property

All materials provided through our network, including tracking links, creative assets, and software, are the property of WiseCore or its Advertisers. You are granted a limited, non-exclusive, non-transferable license to use these materials solely for the purpose of promoting the designated offers in accordance with these Terms.

5. Confidentiality

During your partnership with WiseCore, you may receive confidential information regarding payout rates, offer performance, or proprietary technology. You agree to maintain the strict confidentiality of such information and not disclose it to any third party without our express written consent.

6. Termination

Either party may terminate this agreement at any time for any reason upon written notice. Upon termination, you must immediately cease all use of our tracking links and creative assets. Any accrued, valid, and non-fraudulent earnings will be paid out according to the standard payment cycle.

7. Limitation of Liability

WiseCore Limited shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with this agreement. Our total liability shall not exceed the total commissions paid or payable to you during the three (3) months preceding the event giving rise to the claim.

8. Governing Law

This agreement shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts located in Hong Kong.
